Master Services Agreement

Updated September 7, 2026

This Master Services Agreement ("Agreement") governs the services provided by Launch Industries LLC ("Provider") to you ("Client"). The terms of this Agreement are posted on the Launch Industries website (launchindustries.biz/msa) and are effective upon the date of Client's account setup or service use.

By using Provider's services, you acknowledge and agree to the terms of this Master Services Agreement in effect.

Effective September 7, 2026

Notice of Change

This Agreement now says how it fits with your other Launch documents. It is the umbrella contract. A Statement of Work is the separate signed document that sets the scope, price, and term of a particular engagement, whether that is a Monthly Flex Plan, a Managed-Service Plan, or project and flat-rate work, and it sits on top of these terms. Where a signed Statement of Work conflicts with this Agreement, it controls for that engagement only (Sections 1, 4, 33 and 34). Recurring services such as Registered Agent Services, Doctegrity, and Website Care Plans are named as subscriptions, ordered on their own without a Statement of Work (Sections 4, 6.a and 34).

Six other sections have changed. Project closeout moves to twenty-one (21) days (Section 8). The quality window now runs from billing, and the remedy is a credit or a redo (Section 9). Extended payment terms are available without a retainer where government reimbursement must land first (Section 11.b). Collections referral moves to ninety (90) days (Section 11.i). Hiring a Team Member directly now requires Provider's prior written approval (Section 19). Acceptance of a future change is thirty (30) days of continued use after its effective date (Section 22).

1. General Description of the Services

Launch Industries LLC (the "Provider") performs a variety of services in the areas of business operations, process improvement, human resources, general management, technology, administration, and more. The capabilities applicable to your plan are described in your plan agreement, and current pricing is published at launchindustries.biz/pricing.

This Agreement is the umbrella contract for the relationship between Provider and Client. It does not by itself commit Client to any particular service, price, or term. Those are set in a separate signed document, referred to in this Agreement as a Statement of Work (SOW), which may also be titled a plan agreement, service agreement, proposal, or order form. A SOW is used for Monthly Flex Plans, Managed-Service Plans, project-based and flat-rate work, and any other engagement with a defined scope, price, or term. Each SOW incorporates this Agreement by reference and adds to it.

Provider also offers recurring services billed on a subscription basis, described in Section 4. A subscription is ordered on its own and does not require a SOW.

2. Team

As part of this agreement, Launch Industries will provide Client with access to one or more Launch team members, which may include relationship manager(s), project manager(s), project coordinator(s), and subject-matter specialist(s) as needed. Team Members include both Launch employees and contractors. The selection and assignment of Team Members is at the Provider's discretion.

If you are unhappy with the work completed by a particular provider, please report the issue to your Project Manager or the CEO of Launch Industries via email (monica@launchindustries.biz).

3. Access to Services

Client shall notify Provider of names and titles of authorized representatives at Client's organization who may request services from Provider. If a person unfamiliar to Provider requests services, and that person's name is not on the approved access list, Provider will verify that the individual is authorized to request services on behalf of the organization before pricing services.

4. Service Plans and Pricing

Dynamic Hourly Plan

The Provider offers multiple service models to clients with an active Client Account. The primary service model is the Dynamic Hourly Plan, which provides access to a wide range of professional support services, billed hourly. Hourly rates are dynamically adjusted each month based on the total number of hours used by the Client during that month.

This plan has no minimum monthly hour commitments. Services available under this plan include, but are not limited to, business startup support, payroll and benefits administration, bookkeeping, HR consulting, project management, and marketing support.

The current Dynamic Hourly Rate schedule, showing the rate that applies at each band of monthly hours, is published at launchindustries.biz/pricing. Rates are not restated in this Agreement so that they can be updated without amending it. Provider reserves the right to update published rates with thirty (30) days' written notice per Section 22.

Fixed Hourly Rate

Hourly work is billed under one of two rate structures. A Client is either on the Dynamic Hourly Rate schedule described above, under which the rate adjusts each month with the hours used, or on a Fixed Hourly Rate, under which a single agreed rate applies regardless of monthly volume.

Since October 2025, all Clients are onboarded onto the Dynamic Hourly Rate schedule by default. A Client may request a Fixed Hourly Rate from their Client Success Manager where a predictable rate is needed. A Fixed Hourly Rate applies only once it is agreed in writing, and the rate and its effective date are set out in the Client's plan agreement.

Monthly Flex Plan

Clients who are on a Dynamic Hourly Plan may also opt for contracted pricing for a specific number of hours over a defined time period. For example, 40 hours per month for 12 months at an agreed hourly rate set out in the Client's plan agreement. If this plan is selected, unused hours must be used within the contracted term at the end of the term and will not roll over to the next term, however hours can roll over from month-to-month within the term.

The "Agreement Term" consists of each month during the entire term of the agreement (i.e., 3 months, 6 months, 12 months).

Hourly Costs for Overages

Monthly Flex Plan Term Clients who go into overage (that is, hours beyond what are available on their plan), will by default be billed under the Dynamic Hourly Plan for their overage. For example, if a Client's 6-month Term Plan has an hours allotment of 40 hours but the Client uses 50 hours, the Client is charged the pre-paid Base Plan amount for the 40 hours in their plan, plus the 10 additional hours at the then-current Dynamic Hourly Plan rate for that month. The plan amount is set out in the Client's plan agreement and the Dynamic Hourly rates are published at launchindustries.biz/pricing.

Plan Modifications

  • Increases to Hours: A Client can request to increase their Flex Plan Level during their current SOW's Agreement Term or for their upcoming Agreement Term at any time. If the request can be accommodated, this action will trigger Provider to create a new SOW.
  • Pausing Plans: Provider's staffing resources are planned based on outstanding term agreements; as such, Clients are not allowed to pause a Plan.
  • Downgrading Plans: Clients may not downgrade a plan during the current term and must give 20 days prior written notice to a Term Renewal in order for a downgrade request to go into effect for the next Agreement Term.
  • Right to Modify: Launch Industries reserves the right to change the Services outlined in the Agreement by providing written notice to Client at least thirty (30) calendar days before the end of the current Agreement Term.

Add-Ons Included

Included with the Monthly Flex Plan is one free Doctegrity membership and one free meeting per month (25-minutes) with a Client Success Manager. Clients on a 12-month Flex agreement also receive complimentary Washington State Registered Agent services for the duration of their term. Clients on a 6-month agreement may add Registered Agent services at the standard annual rate.

Additional Pricing Options

Clients with an active Dynamic Hourly Plan account may also request the following pricing options:

  • Project-Based Pricing: For services with a clearly defined scope. These projects are quoted on a case-by-case basis and governed by a separate proposal or Statement of Work (SOW).
  • Managed-Service Plans: For ongoing services like bookkeeping that may vary month-to-month. Also quoted case-by-case and governed by a Statement of Work (SOW).
  • Flat Rate Discounted Pricing: Special discounted pricing may be offered under specific deals for pre-revenue or distressed businesses.

Subscriptions

Separately from hourly work, Provider offers recurring services billed on a subscription basis. These include Registered Agent Services, Doctegrity memberships, and Website Care Plans, and Provider may add others from time to time.

Each subscription has its own scope, billing cycle, and renewal terms, presented to Client when the subscription is ordered, with current amounts published at launchindustries.biz/pricing. A subscription does not require a Statement of Work and does not require an active Dynamic Hourly Plan unless stated otherwise for that service. Subscriptions renew automatically for successive billing cycles until cancelled under Section 6.a.

5. Additional Costs, Fees, and/or Reimbursements

a. Client Account Maintenance Fee

Access to Provider's core services requires an active Client Account. All Clients must establish and maintain this account by paying the Client Account Maintenance Fee. This fee may be paid annually, or may be broken into smaller payments; shorter payment durations carry slightly less favorable pricing, so the annual option costs less over a year than paying monthly. The current amount for each option is published at launchindustries.biz/pricing.

This fee is not required for Clients who exclusively purchase standalone Registered Agent Services.

b. Late Fees

Payment is due within a specified number of days; typically seven (7) days from the invoice date ("Net 7") unless other arrangements have been clearly made in writing. A late fee of 1.5% per month (18% per annum) will be applied to any invoice balance that remains unpaid seven (7) or more days past its due date, and accrues monthly until the balance is paid in full, except as disallowed by law.

c. Travel, Mileage, and Other Reimbursements

  • Mileage Reimbursements: Mileage is charged at the standard IRS mileage rate.
  • Door-to-Door Travel Rate, Parking, and Transit: A discounted door-to-door hourly rate, published at launchindustries.biz/pricing, is charged for travel to and from in-person meetings. Client also agrees to pay any associated parking or public transportation costs.
  • Travel Per Diem: When Provider's staff are asked to travel outside their designated local city, Provider follows the U.S. General Services Administration (GSA) per diem rates. Client may be required to pre-pay all travel expenses.
  • Meal Reimbursement for All-Day Meetings: Client agrees to cover the cost of Provider meals which occur during all-day meetings at Client's job site.
  • Software Reimbursements/Seats: Client agrees to provide and pay for any necessary software seats or licenses required for the Provider's team.
  • Fees for Credit Card Payment Processing: Provider passes Stripe's credit card processing fee through to the Client at cost. This fee is itemized on the invoice and can be avoided by paying via ACH or check.
  • Other Costs: Client agrees to reimburse Provider for any additional costs incurred by Provider in executing this agreement if Client makes requests outside the normal scope of Provider's process.

d. Team Onboarding, Orientation, and Training

To ensure transparency, this section clarifies what onboarding and training time for team members is billable to the Client versus what is covered by the Provider.

✅ Billable Time (Client Responsibility):

  • Training on the Client's proprietary software or internal systems
  • Orienting team members to the Client's unique projects, goals, or processes
  • Any project-specific knowledge transfer or "wrap-up" meetings
  • Communications (email, text, rescheduling, etc.)

Provider will ensure all such time is reasonable and not excessive.

❌ Non-Billable Time (Provider Responsibility):

  • Time spent onboarding or offboarding a Client in Provider's own internal administrative systems
  • General skills training for Provider's team members
  • Training on common, general-use software applications (e.g., Slack, Zoom, ClickUp, QuickBooks, Microsoft Office, etc.)

6. Term and Termination

This Agreement shall commence on the date of Client's account setup and shall continue indefinitely until terminated as set forth herein.

a. Termination of Subscription Plans

Client maintains a subscription plan for the Client Account Maintenance Fee, and may hold other subscriptions such as Registered Agent Services, a Doctegrity membership, or a Website Care Plan. These subscriptions may have a monthly, quarterly, or annual billing cycle. Client may cancel any subscription at any time through the Client billing portal, accessible at portal.launchindustries.biz.

Cancellations submitted through the portal will take effect at the end of the Client's current billing cycle. Client will retain access to the subscription services until that billing period ends. No refunds will be issued for any prepaid, unused portion of the subscription term.

b. Termination of Project-Based Services

A project-based service or Statement of Work (SOW) automatically terminates upon the Provider's completion of the specified deliverables.

If Client wishes to terminate a project-based service midway through before deliverables are complete, Client must provide written notice specifying the date of termination. Client shall be responsible for payment for all work completed to date and any non-cancelable costs incurred by Provider. Any prepaid fees or retainers for the project are non-refundable and will be applied to the final invoice.

c. Termination by Provider for Cause

Provider may terminate this Agreement immediately with written notice if Client fails to pay any outstanding invoice or is in material breach of any term of this Agreement.

d. Post-Termination Transition Services

Upon termination, any transition or wrap-up services specifically requested by the Client shall be considered billable time. This includes, but is not limited to, final status meetings, organizing files in a specific manner, or other support not related to Provider's standard administrative offboarding. This work will be billed at the standard hourly rates.

7. Project Scoping and Quotes

a. Scoping as Billable Work

Provider may offer a complimentary initial consultation to discuss a potential project. Following this, any work performed by Provider to research, plan, or prepare a detailed project scope or Statement of Work (SOW) is considered billable time. This is necessary for complex projects to ensure an accurate plan.

Provider will notify Client before any such billable scoping work begins. Client must give approval to proceed before this time is billed under the Dynamic Hourly Plan.

b. Estimates

Except for projects under a flat-fee SOW, any upfront project quotes or hour estimates are provided as a guide and are not binding. Estimates are subject to change as the work progresses. If Client makes subsequent instructions or requests which alter the scope of the project, the quote or estimate may increase. Client is responsible for requesting an updated quote in such cases. If the scope of work changes, Provider cannot guarantee that work will be delivered within any previously estimated deadline.

8. Closure of Projects

Launch Industries reserves the right to close Projects where feedback or confirmation of completion has yet to be received within twenty-one (21) calendar days from delivery of any Service, either complete or incomplete. Furthermore, Launch Industries reserves the right to close a Project if it is still ongoing thirty (30) days after Client has received notice that the Project has commenced and has offered no feedback whatsoever.

9. Project Quality

Provider agrees to perform all services to a professional standard. Client is responsible for all hours worked. It is the Client's responsibility to request progress reports with sufficient frequency to evaluate progress.

If Client is not satisfied with a work product, Client must notify Provider in writing within ten (10) business days of billing. Provider will review the work in good faith. If Provider determines the work was not performed to a professional standard or in accordance with the project's defined scope, Provider will, at Provider's election, either credit the hours associated with the unsatisfactory work or redo the work. This is Provider's sole liability and Client's sole remedy. Provider is not liable for work that Client fails to review or report on within this 10-day period.

Please report these types of concerns to both your Project Manager and/or Client Success Manager; you may also report these to Launch's Managing Member of the LLC via email at monica@launchindustries.biz.

10. Meeting Locations, Cancellations, and No Shows

It is mutually understood that all services will be conducted remotely. If in-person meetings are requested, Client is subject to the Door-to-Door Travel Rate and Mileage Rates described in Section 5.c.

Provider shall record 20 minutes of time (0.33 hours) for no-shows and cancellations made with less than four hours' notice to recuperate costs associated with the missed meeting opportunity. Meetings canceled or rescheduled with more than four hours' notice shall receive no penalty.

11. Payments, Billing, Refunds, and Questions

a. Billing Frequency

Invoices for services rendered under the Dynamic Hourly Plan are typically issued around the 1st of each month for the prior month's services. Invoices for Project-Based or Flat-Rate Pricing will be issued in conjunction with project deliverables or milestones as specified in the governing project proposal, and may be invoiced separately from monthly hourly services.

b. Payment Terms

The default payment term is Net 7, requiring payment within seven (7) days of the invoice issuance date. All Clients on Net 7 payment terms are required to set up and maintain automatic payment (auto-pay).

Clients may request extended payment terms, such as Net 15 or Net 30, by establishing and maintaining a retainer, the required level of which is set out in the Client's plan agreement. Extended terms are also available, without a retainer, on engagements where Client must receive government reimbursement before it can pay, such as where Provider is subcontracting to Client on a publicly funded contract. The Provider reserves the right to draw down on any retainer for invoices more than seven (7) days past due. The Client agrees to replenish the retainer to its required level to continue extended payment terms. If the retainer is not replenished, the account will revert to Net 7 terms.

c. Payment Methods

We offer multiple payment methods: Auto-Pay, ACH Invoice Payment, ACH from Your Bank, Zelle, Payroll Systems (e.g., Gusto), Paper Check, and Credit Card (with the processing fee passed through).

d. Outstanding Payments

Provider reserves the right to put Services on hold or terminate the Agreement immediately should any outstanding amount be more than thirty (30) days overdue.

e. Refunds

Except for Terminations for Cause by Client, Client is not entitled to a refund for any prepaid funds. In no event shall any refund be given for past amounts paid for services already delivered.

f. Billing Mistakes or Invoicing Questions

If you have questions or believe that Launch Industries has billed you incorrectly, you must contact Launch Industries (accounting@launchindustries.biz) no later than thirty (30) days after receiving an invoice if you believe there is an error.

g. W9s and 1099s

Launch Industries shall provide a current W9 form at the time of document execution. Client will provide 1099 to Provider for work performed by January 31 of each year.

h. Payment Method Management

Client may update, change, or manage their payment method at any time through the Client billing portal: portal.launchindustries.biz.

i. Collections on Overdue Balances

If any outstanding balance is more than thirty (30) days overdue, Launch Industries reserves the right to:

  • Suspend Services until payment is received in full
  • Send to Collections - Accounts with overdue balances beyond ninety (90) days may be referred to a third-party Debt Collection agency. Clients will be responsible for all collection costs, including agency fees, legal expenses, and any other applicable charges incurred during the collection process.

12. Use of Artificial Intelligence in Work Products

When practical, Launch Industries shall utilize artificial intelligence ("AI") tools to speed up work and keep client hours down to the extent possible within a team member's skill set. In signing this Agreement you agree to our use of AI.

13. Usability of Work Products and Support

Launch Industries will use commercially reasonable efforts to provide the agreed-upon Services. Provider does not guarantee that any Work Product provided will be compatible with computer systems other than in which the Product was developed. Client should verify its ability to access and open files delivered by Provider within seven (7) days of delivery.

14. Restrictions of Use

You will not, directly or indirectly, use the Services for timesharing or service bureau purposes or otherwise for the benefit of a third party; or remove any proprietary notices or labels.

15. Confidentiality & Non-Disclosure

Both Parties agree to take reasonable precautions to protect the other's Proprietary Information and not to use (except in performance of the Services) or divulge to any third-party any such Proprietary Information. This obligation does not apply to information that is or becomes publicly available, was already in possession, was rightfully disclosed by a third party, or was independently developed.

16. Data Privacy and Security

Provider stores Client passwords in a software system called 1Password, which uses end-to-end encryption. Provider retains the right to maintain and reuse non-confidential and non-proprietary aspects of all work products created. Client agrees that any resources or tools shared by Provider are for Client's internal purposes only and shall not be monetized, resold, or commercially exploited.

17. Indemnification

Each Party agrees to indemnify, defend, and hold harmless the other Party from any direct losses arising from or relating to any successful third-party claim against either party for actions relating to: failure to comply with any applicable law, gross negligence, willful misconduct, fraud, or defamation.

18. Limitation of Liability

NO PARTY WILL BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR: ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES -- INCLUDING BUT NOT LIMITED TO ANY LOST BUSINESS OPPORTUNITY, REPUTATION, OR PROFITS. WITH THE EXCEPTION OF LIABILITY FOR NON-PAYMENT, THE LIABILITY OF EITHER PARTY FOR DAMAGES HEREUNDER IS LIMITED TO, AND WILL NOT EXCEED, THE AGGREGATE AMOUNTS PAID BY YOU TO LAUNCH INDUSTRIES IN THE 12 MONTHS PRECEDING THE INITIAL CLAIM. There shall be no limitation of liability for bodily injury, fraud, or where applicable law prevents such limitation. There shall be no limitation of liability for Client specifically on its obligation to pay for the Services.

19. Non-Solicitation

During Client's use of the Services, and for a period of one (1) year immediately after the last use of a Service, Client agrees not to solicit, induce, or hire any Launch Industries employee, vendor, or independent contractor ("Team Member") to terminate or breach a relationship with Provider.

Client acknowledges that Provider invests substantial time and resources in training and developing its Team Members without direct compensation, with the expectation that these individuals will remain with Provider for a substantial period.

Client further acknowledges that the loss to Provider from the departure of a trained Team Member is real but difficult to calculate precisely.

If Client wishes to hire or contract directly with a Provider Team Member, Client shall first request and obtain written approval from a duly authorized representative of Provider. Provider may grant, condition, or withhold approval at its discretion.

If Client hires or contracts directly with a Team Member without Provider's prior written approval, Client shall pay Provider ten thousand dollars ($10,000) per Team Member. The Parties agree this sum is a reasonable estimate of Provider's loss, made in advance because that loss is difficult to determine precisely, and is liquidated damages rather than a penalty. Payment does not waive any other right or remedy available to Provider.

Exception: No amount is owed under this Section where the hiring or contracting arrangement was first explicitly suggested to the Client by Launch Industries management. If the Client and Team Member subsequently agree to the arrangement, Provider's management will confirm the waiver in writing.

Limitation: These restrictions apply only to Team Members who have worked directly on the Client's projects. This section does not apply to general public advertisements for a position, unless Client has solicited an application for that position from the Provider's Team Member.

20. Insurance

While this Agreement is in effect, Launch Industries will maintain general liability, professional liability, and cyber Insurance.

21. Delivery of Notices and Consent to Service of Process

The parties mutually consent to the use of electronic means to fulfill this Agreement and to deliver any notices. Notices hereunder will be invalid unless made in writing and furnished by mail to the party's address or record or via email to the party's email of record. With regard to any service of process, the Parties irrevocably consent to service of process by registered mail to the addresses on file.

22. Modification of this Agreement

Provider reserves the right to modify this Master Services Agreement (MSA) and its published rates at any time. Provider will provide a minimum of thirty (30) days' written notice of any material changes. The most current version of the MSA will be available on the Provider's website (launchindustries.biz/msa).

Continued use of Provider's services for thirty (30) days after the effective date of any such modification will constitute Client's automatic acceptance of, and agreement to, the revised rates and terms. No other change, modification, or waiver of this Agreement shall be valid unless in writing and signed by the CEO of Provider.

23. Survival of Terms

All sections of the Agreement which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, confidentiality obligations, warranty disclaimers, and limitations of liability.

24. Enforcing Rights

Either Party's failure or delay to exercise or enforce any right or claim does not constitute a waiver of such right or claim.

25. Assignment

Neither Party may assign this Agreement, or any of the rights or obligations hereunder, without the other Party's prior written consent by a duly authorized representative.

Notwithstanding the foregoing, either Party may assign this Agreement in connection with a bona fide merger, reorganization, acquisition, or other transfer of all or substantially all of such Party's assets or voting securities.

26. Enforceability of Agreement

If and to the extent any provision of this Agreement is held illegal, invalid, or unenforceable in whole or in part under applicable law, such provision or such portion thereof will be ineffective as to the jurisdiction in which it is illegal, invalid, or unenforceable to the extent of its illegality, invalidity, or unenforceability, and will be deemed modified to the extent necessary to conform to applicable law so as to give the maximum effect to the intent of the Parties.

27. Governing Law, Jurisdiction, Venue, & Dispute Resolution

This Agreement shall be governed by, and construed in accordance with, the laws of Washington State. Any disputes arising under or relating to this Agreement shall be resolved exclusively through binding arbitration by a neutral arbitrator in Washington mutually agreeable to the parties, or if the parties cannot agree, by an arbitrator assigned by the Washington Arbitration & Mediation Service (WAMS) in Seattle. The parties consent to the exclusive jurisdiction of the state or federal courts in King County, Washington solely for the purpose of enforcing an arbitration award. If a dispute arises, the prevailing party shall be entitled to recover its reasonable attorneys' fees and legal costs from the opposing party.

28. Notice for California Users

Under California Civil Code Section 1789.3, Users from California are entitled to the following notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210. Effective as of June 20, 2026.

29. Representations and Warranties

Each Party represents and warrants that it is a legal entity duly incorporated, validly existing and in good standing, shall comply with all laws and regulations, and is not a party to any agreement with a third party that would affect its ability to perform its obligations.

30. Disclaimers

Launch Industries hereby disclaims any guarantee that any advice given to you will generate or contribute to your desired result. Any advice given represents Provider's opinions only and Client accepts and agrees that Client is solely responsible for achieving its desired result.

31. Execution and Counterparts

This Agreement may be signed in counterparts and will be considered executed when signed by both Parties.

32. Relationship of the Parties

Launch Industries and Client are independent parties and nothing contained in this Agreement shall be construed to place them in the relationship of partners, principal/agent, employer/employee, or joint venturers.

33. Complete Agreement

This Agreement, together with each Statement of Work and each subscription Client orders, is the complete and exclusive statement of the mutual understanding of the Parties and supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of this Agreement.

A Statement of Work does not replace this Agreement, it adds to it. Where a Statement of Work signed by both Parties conflicts with this Agreement, the Statement of Work controls, for that engagement only. This Agreement controls in every other respect.

Changelog

A record of revisions to this Master Services Agreement. Launch provides a minimum of thirty (30) days' written notice of material changes, as described in Section 22.

DateSectionChange
Sep 7, 20261 Description of Services; 4 Service Plans; 6.a Subscriptions; 8 Closure of Projects; 9 Project Quality; 11.b Payment Terms; 11.i Collections; 19 Non-Solicitation; 22 Modification; 33 Complete Agreement; 34 GlossaryEffective on this date. Document structure: the Agreement now states that it is the umbrella contract and that a Statement of Work is the separate signed document setting the scope, price, and term of a particular engagement, covering Monthly Flex Plans, Managed-Service Plans, and project-based or flat-rate work (Section 1, Section 4, and the Section 34 glossary, which previously defined a SOW as governing project-based services only). Section 33 no longer reads as though it cancels those documents: the Agreement plus each Statement of Work and subscription is the complete statement, and a signed Statement of Work that conflicts with the Agreement controls for that engagement only. Subscriptions: recurring services billed on a cycle, including Registered Agent Services, Doctegrity memberships, and Website Care Plans, are described in Section 4, brought within the Section 6.a cancellation terms, and defined in the glossary. Section 6.a previously referred only to the Client Account Maintenance Fee. Six further changes. Section 8: a Project may be closed for no feedback after twenty-one (21) calendar days, up from fourteen (14). Section 9: the ten (10) business day window to report an unsatisfactory work product now runs from billing rather than from delivery, and the remedy is a credit of the hours or a redo of the work at Provider's election, rather than a credit only. Section 11.b: extended payment terms are now also available without a retainer on engagements where Client must receive government reimbursement before it can pay. Section 11.i: referral to a collection agency now happens beyond ninety (90) days overdue rather than thirty (30); suspension of Services is unchanged at thirty (30) days. Section 19: the $10,000 amount is now owed when a Team Member is hired or contracted without Provider's prior written approval, as liquidated damages, rather than as a release fee payable on an approved hire; prior written approval is still required, and the existing exception and limitation are unchanged. Section 22: acceptance of a future modification is now thirty (30) days of continued use after its effective date.
Sep 5, 20261; 4 Service Plans; 5 Costs & Fees; 11 Payments; 22 Modification; 34 GlossaryRates moved out of this Agreement. The Dynamic Hourly Rate schedule, the Client Account Maintenance Fee amounts, and the door-to-door travel rate are now published at launchindustries.biz/pricing rather than restated here, so they can be updated with thirty (30) days' notice under Section 22 without amending the Agreement. Worked examples no longer quote figures. References to a "Client Rates Sheet & Basic Terms" document were removed; that document does not exist. Credit card processing is described as a pass-through at cost rather than a fixed percentage. No change to the late fee, the Team Member release fee, or any other term.
Sep 5, 20264 Service Plans; 5 Business EssentialsBusiness Essentials Packages withdrawn; the former section 5 removed and later sections renumbered. Fixed Hourly Rate added to section 4: clients are onboarded onto the Dynamic Hourly schedule by default since October 2025, with a Fixed Hourly Rate available on request through the Client Success Manager once agreed in writing.
Aug 27, 20265.b Late FeesLate fee changed to 1.5% per month (18% per annum) on balances unpaid seven (7) or more days past the due date, accruing monthly. Replaces the previous flat 2% fee applied at three (3) days past due.
